1. Acceptance of Terms:

By accessing or using Legacy Safe, you agree to comply with and be bound by these Terms and Conditions. If you do not agree to these Terms, you must not use the App.

2. Use of the App:

This App provides tools for estate, end of life planning including document storage and management. This app is not intended for legal advice. It is intended for personal use only and should not be used for commercial purposes.

3. User Accounts:

To access certain features of the App, you may be required to create an account. You agree to provide accurate, current, and complete information during the registration process and to update the information as necessary. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

4. Privacy:

Your use of the App is also governed by the Privacy Policy which can be found at [ ]. The Privacy Policy explains how we collect, use and disclose your personal information.

5. Intellectual Property:

The App and its features, and functionality are and will remain exclusive property of Legacy Safe and its licensors. All content within the App remains exclusively property of the account member. The App is protected by copyright, trademark, and other laws of both the United States and foreign countries.

6. License to Use the App:

We grant you a limited, non-exclusive, nontransferable revocable license to use the App for personal, non-commercial purposes. You agree not to copy, modify, distribute, sell or lease any part of the App, nor reverse engineer or attempt to extract the source code of the App, except as expressly permitted by law.

7. Prohibited Conduct:

You agree not to use the App for any unlawful purpose or in any way that could harm the App or impair anyone else’s use of the App. Prohibited conduct includes, but is not limited to:

• • Uploading or transmitting any harmful or malicious software.
• • Attempting to gain unauthorized access to the App or its systems.

However, the App does not provide legal, tax or financial advice. All content and materials provided by the App are for informational purposes only and should not be construed as legal or professional advice. You should consult with a qualified attorney, tax advisor, or financial planning for advice tailored to your specific situation.
• b. No Attorney-Client Relationship: This App is not a substitute for the advice or services of an attorney.
• c. Accuracy and Completeness: While we strive to ensure that the information provided by the App is accurate and up to date, we make no representations or warranties of any kind, express or implied, about the accuracy, reliability, completeness or suitability of the information and materials found on the App.

8.2 Technical Disclaimers:

• a. Service Availability: We do not guarantee that the app will be available at all times, free from errors or that the App and its servers are free of viruses or other harmful components. Technical issues may result in temporary unavailability, data loss or other problems.
• b. Third Party Services: The App may integrate with third party services or provide links to third party websites. We do not endorse or assume any responsibility for any such third party services or website. Your use of third party services and websites is at your own risk and subject to the terms and conditions of those third parties.

8.3 Limitation of Liability

• a. To the fullest extent permitted by law, in no event shall Legacy Safe, it’s directors, officers, employees, agents, partners, or affiliates be liable for any indirect, incidental, special, consequential or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, resulting from (i) your use of or inability to use the App; (ii) any unauthorized access to or use of our servers and/or any personal information stored therein; (iii) any interruption or cessation of transmission to or from the App; (iv) any bugs, viruses, trojan horses, or the like that may be transmitted to or through the App by any third party; (v) any errors or omissions in any content or for any loss or damage incurred as a result of the use of any content posted, emailed, transmitted, or otherwise made available through the App; and/or (vi) the defamatory, offensive or illegal conduct of any third party.
• b. Cap on Liability: To the fullest extent permitted by law, Legacy Safe’s total liability to you for any damages, losses and causes of action arising out of or relating to these Terms or your use of the App (whether in contract, tort, including negligence, warranty, or otherwise) shall not exceed the amount you have paid us in the last twelve (12) months or one hundred dollars ($100), whichever is greater.
• c. Jurisdictional Limitations: Some jurisdictions do not allow the exclusion of certain warranties or the limitation or exclusion of liability for incidental consequential damages. Accordingly, some of the above limitations may not apply to you. In such jurisdictions, our liability will be limited to the fullest extent permitted by applicable law.

8.4 Indemnification:

You agree to indemnify, defend, and hold harmless Legacy Safe, its directors, officers, employees, agents, partners, and affiliates from and against any and all claims, liabilities, damages, losses, costs, expenses, fees (including reasonable attorneys’ fees), arising from or relating to (i) your use of the App; (ii) your violation of these Terms; (iii) your violation of any rights of a third party, including any intellectual property right or privacy right; or (iv) your violation of any applicable law, rule or regulation.

8.5 Governing Law and Dispute Resolution:

These Terms shall be governed by and construed in accordance with the laws of North Carolina/United States, without regard to its conflict of law principles. Any disputes arising out of or relating to these Terms or the App shall be resolved through binding arbitration conducted in Mebane, North Carolina/United States, except that you may assert claims in small claims court if your claims quality.
